Corporation

Panamanian Corporation offers to the investor around the world a great variety of fiscal incentives.

Panamanian corporations may be organized by two or more persons of legal age, of any nationality, even when they are not resident in the Panama Republic for any lawful purpose. Law 32 of February 26, 1927.

Articles of Incorporation must at least contain the following information:

  1. Name of the Corporation
  2. Name and domicile of its subscribers 
  3. Corporate Objectives; businesses that the corporation will carry on 
  4. Corporate capital: amount, stocks classes and distribution, etc.
  5. Duration of the corporation
  6. Name and address of directors and dignitaries
  7. Name and business address of Resident Agent (must be an attorney of law firm authorized to practice law in the Republic of Panama)

Annual Tax

All Panamanian corporations pay only an annual fee of $350.00 to the Ministry of Economy and Finance at the moment of incorporation.  This fee is $350.00 for the subsequent years.

The date of the entity’s incorporation determines the payment deadline:

Procedures and requirements for Establish a Panama Corporation

  1. DETAILED PERSONAL INFORMATION: Please complete the Order Form with the required personal information

  2. THE NAME OF THE CORPORATION: It must end in any of the following words or abbreviation: Corporation (Corp.), Incorporation (Inc.), or Sociedad Anonima (S.A.). Name in a foreign language are permitted. Availability of names must be cleared for use by the Public Registry. It is very important that you provide at least three different name options  for your entity, in case your first choice is taken.

  3. DIRECTORS: On the online application, you should indicate who you want to appoint as directors of your corporations. Every panama corporation requires 3 directors (President, Secretary and Treasurer). The directors/officers can be either individuals or entities. For the purpose of anonymity, you can opt for Nominee Directors, which we will provide.

  4. SHARE: The shares can be registered (nominative) or issued to the bearer. Registered shares imply that the name of the owner appears on the stock certificate and on the stock register book of the corporation, unlike bearer shares where these requirements are unnecessary.

  5. PASSPORT. Photocopy of the entire passport (all pages to comply with the requirements by the Law that demands to know the migratory movement of the client) duly authenticated by a Notary Public as true copy of the original document and that the photograph is a reasonable likeness, and apostilled if applicable

  6. PROOF OF DOMICILE: Original of a credit card statement showing their full name and address; or original of a bank account statement showing their full name and address; or an original of a monthly statement of account issued for any public utility services supplied to the client showing their full name and address (electricity, water, telephone, cable TV or Internet).

  7. BANK REFERENCE LETTER: At least one (1) bank reference letters by reputable banking institutions stating the date they became a client of the respective banks, ), duly authenticated by a Notary Public and where applicable;

  8. ANOTHER LETTER OF REFERENCE: It may be a professional reference, in original, from a lawyer, accountant or financial consultant, or a business reference (any business) stating since what date they know the client personally), duly authenticated by a Notary Public and apostilled where applicable;

  9. ADDITIONAL DOCUMENTS: On a case-by-case basis and depending on the amount of the volume of the funds, profile or activities of the companies, the company will have the right to request additional information or explanation.PAYMENT OPTIONS:

  10. Time: Your corporation can be established within 3 to 5 business days.
